The Supreme Court unanimously ruled that the SEC does not need to prove that investors suffered any financial loss in order to obtain disgorgement of a defendant’s net profits. The decision resolves a circuit split in the SEC’s favor and effectively closes off one of defendants’ key arguments for limiting or defeating disgorgement awards.
