United Kingdom: On 5 June 2026 the final provisions of the EU Listing Act came into force, making further amendments to the EU rules on public offers and market abuse. This follows the recent overhaul of UK capital markets regulation. The Supreme Court unanimously ruled that the SEC does not need to prove that investors suffered any financial loss in order to obtain disgorgement of a defendant’s net profits. The decision resolves a circuit split in the SEC’s favor and effectively closes off one of defendants’ key arguments for limiting or defeating disgorgement awards.
